Terms of service
Draft version 0.1, last updated 20 October 2026.
1. Who these terms are between
These terms are between [LEGAL ENTITY NAME], [REGISTERED ADDRESS], India (“VROWTH”, “we”) and the business that signs up (“you”, the “agency”). VROWTH is sold to businesses, not to consumers. By creating an account you accept these terms and the privacy notice. If you accept for a company, you confirm you may bind it.
2. The service
VROWTH is software for agencies that find content ideas, write scripts, make videos, run Instagram comment-to-message automations, capture leads, and sell products, bookings and webinars for their clients. We may change, add or remove features. Features that depend on others’ platforms, such as Instagram, Razorpay, Google or AI providers, can change or stop when those platforms change; we do not promise they will always be available.
3. Accounts and sign-in
You sign in with a one-time link sent to your email. You are responsible for who has access to the mailboxes of your staff and for everything done through your account. Tell us promptly if you suspect misuse. An agency’s clients may be given a read-only portal; you are responsible for who you invite.
4. Trial, licence and credits
- A new agency starts a 14-day trial when it signs up. A licence must be bought before the trial ends to keep using the service.
- Some features use credits. Credits belong to your agency, cannot be transferred, and are used up as features run.
- Prices are shown before you pay and are in Indian rupees. GST is added where it applies, and we issue a tax invoice for each payment.
- Refunds: [REFUND POLICY FOR LICENCES AND CREDIT PACKS, to be decided with counsel, for example whether unused credits only are refunded and the minimum amount refunded].
5. How money moves, and no side charges
VROWTH never holds or pays out anyone’s money and takes no commission on payments between an agency, its clients and their customers. Each of those payments goes into the account holder’s own Razorpay account. Razorpay’s fees belong to that account holder.
[Proposed wording for counsel.] Where you use VROWTH to bill a client, or to sell, take bookings or take payments for a client, those charges must be collected through the platform’s billing so that each one produces a platform invoice. You must not use the platform to arrange, produce or manage work for a client and then collect the related fees outside it to avoid platform billing.
6. What we record about payments
We record the amount, GST, status, payment account and product of every payment made through the platform: licence and credit purchases, an agency’s fees to its clients, and a client’s sales to its customers. These records contain no buyer personal data. VROWTH’s operator sees all of them, but for clients’ sales only totals and statuses. An agency sees the payments of its own clients, and a client sees its own. We compare these records with each Razorpay account’s settlement data to find mistakes.
7. Your content and other people’s data
You keep your rights in what you put into VROWTH and give us the right to store and process it to run the service for you. When you collect or use information about your clients’ customers, you are responsible for having a lawful basis, for telling those people, for keeping the data only as long as needed, and for answering their requests. We process that data on your instructions, as described in the privacy notice. You must not upload personal data you have no right to use.
8. Rules for using the service
- Instagram. Automations use Meta’s official interface only. You must follow Meta’s and Instagram’s rules and must not use the platform for spam, harassment or misleading messages. Meta can limit or stop an account or a feature, and some messages may not be delivered.
- Other people’s content. You are responsible for having the right to use any source video, text, image or music you work from. The “Adapted Rewrite” and “Verbatim Clone” script modes stay close to a source; you must read and accept the risk notice before using them, and you accept the copyright and platform-policy risk of what you publish.
- Voice and face. You may clone a voice or face only with the clear, recorded consent of that person, and you must not imitate a public figure. Consent can be withdrawn; when it is, we delete what was made from it and stop jobs that use it. We keep the consent record as evidence.
- Misuse. No illegal, hateful, sexual, deceptive or infringing content; no attempts to break, overload or bypass the platform; no reselling of access other than as the service is meant to be used.
- We may use automated and human moderation, and may refuse a request or suspend content that breaks these rules.
9. AI-generated content
Scripts, products, voices, avatars and videos are produced with the help of AI and may be wrong, similar to existing work, or unsuitable. You must review everything before publishing or selling it and remain responsible for it.
10. Taxes and invoices
The platform generates invoices, bills of supply and credit notes from the details you enter, such as your GSTIN and state. You are responsible for those details and for your own tax filings; we do not give tax advice and do not file returns.
11. Suspension and ending
You can stop using VROWTH at any time. If a licence lapses or is cancelled, you may keep read-only access to finished videos and the client portal [period to be confirmed]. We may suspend or end an account for non-payment, breach of these terms or legal reasons. After the account ends, we delete or keep data as set out in the privacy notice.
12. Our responsibility
The service is provided as available. [Counsel to set the limits on warranties, the cap on liability, the indemnities, the governing law (India) and the courts that will hear disputes.]
13. Changes and contact
We may update these terms and will show the new date at the top; for changes that matter we will tell you before they apply. Questions: support@vrowth.in.
